Terms & Conditions (Harry AI)

These Terms govern your use of the Harry AI Service. By creating an account or using the Service, you agree to these Terms.

  1. 1) Definitions

    • "Service": Harry AI web app and related services, including chat, document handling (RAG), URL fetching, search, and audio transcription/notes (where available).
    • "Customer Content": any content you submit to the Service (messages, documents, URLs, audio files), and any content stored in your workspaces/projects.
    • "Output": responses generated by the Service (text, summaries, notes, etc.).
    • "Credits": usage units used to measure consumption of the Service per plan.
  2. 2) Who we are

    The Service is provided by Harry AI (a trade name of ME Strategy).

  3. 3) Account registration, eligibility, and business use

    • You must be at least 18 years old and able to form a binding contract.
    • You must provide accurate account details and keep them updated.
    • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
    • The Service is intended for business users only. By signing up, you confirm you are acting in a professional capacity, not as a consumer.
  4. 4) Service description and tiers

    We offer subscription plans (e.g., Starter and Pro) with different feature access and credit allowances. Some features may be marked "coming soon" and are not available until launched (e.g., certain advanced team features).

    We may adjust features, UI, or functionality over time. If we materially reduce paid features, we will provide notice and a reasonable remedy.

    Beta, experimental, and "coming soon" features:

    Features marked as "beta", "experimental", "preview", or "coming soon" are provided as-is and may not be fully functional or available. We may change, remove, limit, or discontinue beta features at any time without prior notice. Beta features are provided without warranties and are excluded from any service level commitments. Your use of beta features is at your own risk. We welcome feedback on beta features to improve them before general availability.

  5. 5) Acceptable use

    You agree not to misuse the Service. You must not:

    • Break the law or infringe others' rights
    • Upload or request content that is illegal, harmful, or violates confidentiality obligations you have to third parties
    • Attempt to probe, scan, or test vulnerability of the Service
    • Attempt to bypass rate limits, credit limits, authentication, or security controls
    • Use the Service to develop or distribute malware, perform phishing, or automate abuse
    • Interfere with or disrupt the Service or its infrastructure

    We may suspend or terminate accounts that violate these rules.

  6. 6) Customer Content and confidentiality

    You own your Customer Content. We do not claim ownership over your documents, chats, or audio files.

    By using the Service, you grant us a limited, non-exclusive license to host, store, process, and transmit your Customer Content solely to provide and improve the Service, including sending content to subprocessors (e.g., AI model providers, transcription providers) when required for features you use.

    You are responsible for ensuring you have the right to upload any Customer Content, including personal data of third parties and confidential material.

  7. 7) AI Outputs and professional disclaimer

    Outputs are generated probabilistically and may be inaccurate, incomplete, or outdated.

    You are responsible for verifying Outputs before using them in client work or decision-making.

    The Service does not provide legal, financial, medical, or other regulated professional advice.

  8. 8) Credits, usage, and limits

    Your plan includes a monthly credit allowance. The Service tracks usage and deducts credits per action (e.g., chat, web search, transcription).

    Transcription is billed at 1 credit per minute, rounded down to the nearest full minute, with a minimum of 1 credit.

    Credit rollover:

    Unused credits roll over to the next month, up to a maximum of your current plan's monthly limit. Rolled-over credits are used first before new monthly credits.

    Example: Pro plan includes 2,500 credits per month. If you use 1,700 credits in January, 800 roll over to February. In February you have 3,300 credits total (800 rollover + 2,500 new monthly allocation).

    Plan changes:

    • If you upgrade plans, rolled-over credits are preserved.
    • If you downgrade plans, rolled-over credits may be reduced to the new plan's monthly limit.
    • If you cancel, rolled-over credits are forfeited (no refund for unused credits).

    Rollover does not apply to free trials or promotional credits unless explicitly stated.

    We may enforce fair-use limits (e.g., rate limits, max file sizes, max request sizes) to protect service stability.

  9. 9) Billing, trial, renewals, cancellations, refunds

    Subscription fees are billed as shown at checkout (monthly pricing may be offered with annual billing or equivalent discounts).

    Taxes (including VAT) may apply depending on your location and VAT status.

    Payments are processed by our payment provider (e.g., Mollie).

    You can cancel at any time; cancellation takes effect at the end of the current billing period unless otherwise stated at purchase.

    Refunds are provided only where required by law or explicitly stated in a written agreement.

    Annual vs. Monthly billing:

    Monthly plans are billed monthly and can be cancelled at any time, effective at the end of the current billing period.

    Annual plans are billed upfront for the full year at a discounted rate (typically 25% off monthly pricing). If you cancel an annual plan, you will retain access until the end of your annual term, but no refund will be provided for unused months unless required by law. Annual plans do not auto-renew; you will be notified before expiration.

    Free trial terms:

    Some plans include a free trial period (e.g., 30-day Pro trial). Trial terms are shown at signup. A valid payment method is required to start a trial. You will not be charged during the trial period.

    At the end of the trial, you will be automatically charged for the plan at the standard monthly rate unless you downgrade to a lower-tier plan or cancel before the trial ends.

    If your payment method is declined at trial end, your account may be downgraded to a lower tier or suspended. You can cancel your trial anytime before it ends with no charge.

    Value Added Tax (VAT):

    Prices shown may exclude VAT. VAT applies as follows:

    • Dutch customers (NL): Dutch VAT (21%) applies to all purchases
    • EU customers with valid VAT number: Reverse charge applies; no VAT charged (you account for VAT in your own country)
    • EU customers without valid VAT number: Dutch VAT (21%) applies
    • Non-EU customers: No VAT charged (export of services)

    VAT numbers are validated via the EU VIES system at checkout. If validation fails, Dutch VAT will be applied. You are responsible for providing accurate VAT information.

    All invoices include VAT details as required by law.

  10. 10) Availability, changes, maintenance, and force majeure

    We aim for high availability but do not guarantee uninterrupted service. Maintenance, updates, or third-party outages may cause downtime.

    We may change the Service over time. If a change materially affects paid functionality, we will provide notice where reasonably possible.

    Force majeure:

    We are not liable for delays, failures, or interruptions in providing the Service due to circumstances beyond our reasonable control, including but not limited to:

    • Natural disasters, severe weather
    • War, terrorism, riots, civil unrest
    • Government actions, embargoes, sanctions
    • Telecommunications failures, internet backbone failures
    • Power outages, utility failures
    • Strikes, labor disputes
    • Third-party service provider outages (e.g., cloud infrastructure, AI model providers)
    • Cyberattacks or distributed denial-of-service attacks

    During force majeure events, we will make reasonable efforts to restore service and will communicate with users about the situation and expected resolution timeline.

  11. 11) Data protection

    Our Privacy Policy explains how we handle personal data. By using the Service, you acknowledge that your Customer Content may be processed by our subprocessors (e.g., AI model providers, transcription providers, web search providers) when you use those features.

  12. 12) Intellectual property

    We own the Service, including software, designs, and trademarks (excluding your Customer Content).

    You may not copy, modify, reverse engineer, or resell the Service except as permitted by law.

  13. 13) Third-party services and links

    The Service may integrate or link to third-party services (e.g., web pages you fetch, search providers). We are not responsible for third-party websites, content, or services.

  14. 14) Suspension and termination

    We may suspend or terminate your access if:

    • you violate these Terms,
    • your use poses a security risk to the Service, or
    • we must do so to comply with law.

    You may stop using the Service at any time. Upon termination, you may lose access to Customer Content, subject to legal retention obligations for billing records.

  15. 15) Limitation of liability

    To the maximum extent permitted by law:

    • The Service is provided "as is" and "as available."
    • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

    Our total liability for any claim relating to the Service is limited to the greater of:

    • (a) the amount you paid to us for the Service in the 12 months prior to the event giving rise to the claim, or
    • (b) €100 (one hundred euros)

    This ensures a minimum liability floor even for trial users or users in their first month of service.

    Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., intentional misconduct).

  16. 16) Indemnity

    If you use the Service in a way that violates law or third-party rights (including uploading content you don't have rights to), you agree to indemnify and hold us harmless from related claims, losses, and expenses (including reasonable legal fees).

  17. 17) Governing law and disputes

    These Terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.

  18. 18) Changes to these Terms

    We may update these Terms. If changes are material, we will notify you. Continued use after the effective date means you accept the updated Terms.
